Terms of Service

1. Agreement to Terms

By accessing or using the Build Your Data platform and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by BUILD YOUR SALES GROUP PTE. LTD. (UEN: 202601183R), a company incorporated in the Republic of Singapore ("Company", "we", "us", or "our"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and the Company. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Service

Build Your Data is an AI-powered B2B data enrichment platform that provides:

• Data discovery and lead generation services
• Contact and company data enrichment
• Lead scoring and qualification
• API and MCP (Model Context Protocol) server access
• Integration with third-party CRM systems

The Service connects to multiple third-party data providers to deliver B2B intelligence. We act as an aggregator and do not create or maintain our own database of personal information.

3. User Accounts and Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Acceptable Use Policy

You agree to use the Service only for lawful business purposes. You shall NOT:

• Use the Service for any illegal purpose or in violation of any applicable laws, including but not limited to anti-spam laws (CAN-SPAM, GDPR, PDPA)
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems
• Use the Service to harass, stalk, or harm individuals
• Collect personal data for purposes other than legitimate B2B prospecting
• Resell, redistribute, or sublicense the Service or data without written authorization
• Use automated means to access the Service except through our official API
• Circumvent any technical measures we use to provide the Service
• Interfere with or disrupt the integrity or performance of the Service

Violation of this policy may result in immediate termination of your account and potential legal action.

5. Credits, Pricing, and Payment

The Service operates on a credit-based system:

• Credits are consumed when you perform enrichment operations
• Credit consumption varies based on the type of data requested
• Unused credits expire at the end of each billing period unless otherwise specified
• Credits are non-transferable between accounts

Payment Terms: All fees are quoted in USD unless otherwise specified. Payments are processed through secure third-party payment processors. You agree to pay all applicable fees and taxes.

Refund Policy: All payments are non-refundable except: (a) where required by applicable law; (b) in cases of Service unavailability exceeding 72 consecutive hours; or (c) at our sole discretion for documented technical failures.

6. Data Accuracy and Disclaimer

While we strive to provide accurate and up-to-date data, BUILD YOUR SALES GROUP PTE. LTD. makes NO WARRANTIES, express or implied, regarding:

• The accuracy, completeness, or reliability of any data
• The fitness of data for any particular purpose
• The timeliness or currency of information
• The availability or uptime of the Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. You acknowledge that B2B data changes frequently and that some information may be outdated or inaccurate.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• BUILD YOUR SALES GROUP PTE. LTD., its directors, officers, employees, and agents shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for any loss of profits, revenue, data, goodwill, or other intangible losses
• Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless BUILD YOUR SALES GROUP PTE. LTD. and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights

9. Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content, is owned by BUILD YOUR SALES GROUP PTE. LTD. and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not: copy, modify, distribute, sell, lease, or create derivative works based on the Service without our prior written consent.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Extended period of inactivity
• Request by law enforcement or government agencies

Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 8, 9, 11, and 12 shall survive termination.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the SIAC for the time being in force. The seat of arbitration shall be Singapore. The language of arbitration shall be English.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
